Terms of Service

These Terms of Service (“Terms”) govern your access to and use of OnlineJobCompany.com (the “Site”) and any products or services provided by Online Job Company (“OJC,” “we,” “us,” or “our”). By accessing the Site or purchasing/using any OJC service, you agree to these Terms.

If you do not agree, do not use the Site or purchase Services.

1) Who We Are

OJC provides operational, administrative, and digital services that may include (depending on the offer you purchase): research, documentation, templates, copywriting, process support, drafting assistance, filing/reporting assistance, follow-up tracking, and other remote business services (collectively, “Services”).

Not professional advice: OJC is not a law firm, accounting firm, or licensed professional service provider. Nothing on the Site or in our Services is legal, tax, or financial advice.

2) Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site or purchase Services on behalf of a business.

3) Scope of Services and Order Terms

Service details, deliverables, timelines, and pricing are described on the checkout page, order form, proposal, invoice, or specific service page (“Order Terms”). The Order Terms control if they conflict with these Terms.

4) No Guarantees (Results and Timelines)

Because outcomes often depend on third parties (platforms, vendors, customers, policies, algorithms, and other factors outside our control), OJC does not guarantee:

• any specific result or outcome,
• approvals or decisions by third parties,
• rankings, revenue, leads, conversions, or performance improvements, or
• any specific timeline, response speed, or completion date unless explicitly stated in the Order Terms.

Any examples or prior results are illustrative only and not promises.

5) Client Responsibilities

To perform Services, you agree to:

• Provide accurate and complete information, materials, and any access you authorize.
• Respond promptly to requests for information or approvals.
• Use Services only for lawful purposes and in compliance with all applicable laws and third-party rules/policies.
• Ensure you have the rights/permissions to share any materials you provide to us.

If delays occur because you do not provide required information or approvals, OJC is not responsible for missed timelines or reduced effectiveness.

6) Third-Party Platforms and Prohibited Requests

Some Services involve third-party platforms and tools (“Third-Party Services”). You understand:

• OJC is not affiliated with, endorsed by, or sponsored by any Third-Party Service unless explicitly stated.
• Third-Party Services control their own policies, tools, availability, and decisions, and may change them at any time.
• If you authorize us to access an account, we will use access only as authorized to perform Services; you remain responsible for maintaining account security and permissions.

Prohibited requests: You agree not to request or require OJC to engage in deception, impersonation, fraud, harassment, fake reviews, policy circumvention, or any unlawful or unethical activity. OJC may refuse service or stop work if a request violates these Terms or third-party policies.

7) Payments, Billing, and Taxes

Prices are listed in U.S. dollars unless stated otherwise. You agree to pay all fees as presented at checkout or in the Order Terms.

For subscriptions/recurring services (if offered), you authorize us (and our payment processor) to charge your payment method on a recurring basis until you cancel according to the Order Terms.

You are responsible for any applicable taxes, duties, or government charges unless we are required to collect them.

8) Refunds and Chargebacks

Refund terms (if any) are stated in the Order Terms. Unless the Order Terms say otherwise:

• Refunds are based on work performed, not outcomes.
• Once work has started or deliverables have been provided, fees may be non-refundable.
• No refunds will be issued due to third-party denials, delays, policy changes, or lack of response.

Chargebacks: If you initiate a chargeback without first contacting us to resolve the issue, we may suspend Services and access to deliverables and may dispute the chargeback with evidence of work performed.

9) Changes, Pauses, and Cancellation

You may request changes to scope. Scope changes may require additional fees and may adjust timelines.

If your service includes a subscription, cancellation terms will be stated in the Order Terms. Unless otherwise stated, cancellations take effect at the end of the current billing period and do not prorate unused time.

OJC may pause or terminate Services if you breach these Terms, fail to pay, or request prohibited activity.

10) Intellectual Property and License

OJC retains ownership of the Site, branding, and any pre-existing templates, frameworks, processes, and tools we use (“OJC Materials”).

Upon full payment, you receive a limited, non-transferable, non-sublicensable license to use the deliverables provided to you for your internal business purposes. You may not resell, redistribute, or publish OJC Materials or deliverables as templates/products unless explicitly permitted in writing.

You represent that any content you provide does not infringe any third-party rights.

11) Confidentiality

We will use reasonable efforts to keep non-public information you share with us confidential and to use it only to provide Services. You agree not to share our non-public methods, SOPs, or proprietary processes outside your organization.

This section does not apply to information that is public, independently developed, or lawfully obtained without confidentiality obligations.

12) Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OJC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or secure.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OJC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
• OJC’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO OJC FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT THAT FIRST CAUSED THE CLAIM.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

14) Indemnification

You agree to defend, indemnify, and hold harmless OJC and its owners, contractors, and affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from:

• your use of the Site or Services,
• your violation of these Terms,
• your violation of any third-party policy or law,
• content or materials you provide to us, or
• your business operations and customer interactions.

15) Dispute Resolution, Governing Law, and Venue

Informal resolution first: Before filing a claim, you agree to contact us and attempt to resolve disputes informally.

Governing law: These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules.

Venue: Any dispute, claim, or legal proceeding arising out of or relating to these Terms, the Site, or the Services will be brought exclusively in the state or federal courts located in Suffolk County, New York, and you consent to the personal jurisdiction of those courts.

16) Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted on this page with a revised “Last updated” date. Your continued use of the Site or Services after changes become effective constitutes acceptance.

17) Miscellaneous

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

No waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.

Entire agreement: These Terms and any Order Terms are the entire agreement between you and OJC regarding the Site and Services.
